Terms of use.

Who we are and what these terms cover

Scientia Basis is operated by Scientia Basis LLC, 252 NW 29th St, 9th Floor, Miami, FL 33127. These terms apply to every account, including Free accounts. If you subscribe to a paid plan, the subscription terms also apply; where they deal with billing, they govern. A signed Enterprise agreement governs where it differs from these terms.

Your account

You must be at least 18 to create an account. The service is not directed at children under 13. You are responsible for your account and every API key on it: keep keys secret, and revoke a key you think is exposed. If you use the service for an organization, you agree to these terms on its behalf.

Using the results

Subject to the applicable source licences, attribution notices and permitted serving scope supplied with the results, you may use results in your own work, products and services, including products you offer to your own customers. These terms do not replace or remove rights and obligations under an applicable source licence.

What you may not do

• Resell, sublicense or redistribute the service or its data as a data product of its own, except to the extent an applicable source licence independently permits it.
• Bulk-copy the service's compilation: systematically download or extract it, or use the service to build or supply a substitute database or service, except to the extent an applicable source licence independently permits it.
• Share API keys outside your organization, or get around quotas, rate limits or key scopes.
• Use the service for anything unlawful, or to interfere with or probe the security of the service.

Accuracy of the data

The data is compiled from third-party and public sources. It may be incomplete, out of date or wrong. A screening or matching result is not a legal determination about any person or entity, and is not legal, compliance or other professional advice. You are responsible for the decisions you make using it.

No warranty

The service and its data are provided 'as is' and 'as available', without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.

Limit of liability

We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims relating to the service is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim and $100.

Your responsibility for misuse

You will defend, indemnify and hold harmless Scientia Basis LLC and its members, officers, employees and agents against any third-party claim, and the resulting losses, damages, liabilities and costs, including reasonable attorneys' fees, arising from your breach of these terms, your unlawful use of the service, or your misuse of the service or its data.

Suspension and closing

We may suspend or close an account that breaks these terms. You can close your account at any time from account settings; the subscription terms describe what happens to a subscription and to your records.

Changes to these terms

We will give you 30 days' notice by email before a change to these terms takes effect. Continuing to use the service after that means you accept the change.

Governing law and venue

These terms are governed by the laws of the State of Delaware. Any dispute is heard exclusively in the state and federal courts located in Delaware, subject to the non-waivable rights described below.

Rights the law gives you

Nothing in these terms limits a right you have under the law that applies to you and that cannot be waived or limited by contract. Where that law does not allow a disclaimer or limit in the warranty, liability or misuse sections, it applies only as far as the law allows. If you are a consumer and that law entitles you to bring a claim in the courts where you live, the venue clause does not take that right away.
